Senior Legal Counsel

About the role

The Senior Legal Counsel will join BVGroup’s legal team in Gibraltar, supporting both B2B SaaS initiatives and the broader B2C betting and gaming business. Reporting to senior stakeholders, you will provide commercially‑focused legal advice across commercial, corporate, regulatory and strategic matters.

Key responsibilities

• Lead drafting, review and negotiation of complex SaaS, software licensing, technology services, reseller, referral and partnership agreements.
• Support the SaaS strategy, including commercialisation and licensing of proprietary technology platforms.
• Develop and maintain scalable contracting processes, template agreements, guidance materials and legal playbooks for B2B and SaaS activities.
• Draft, review and negotiate commercial agreements for the B2C business such as service, software licensing, marketing, referral, sponsorship, data processing and confidentiality agreements.
• Provide day‑to‑day legal support to the B2C operation on commercial and operational matters.
• Prepare and coordinate board, shareholder and corporate approvals.
• Manage disputes, claims and litigation, working with external counsel as needed.
• Support policy development, audits and legal training initiatives.
• Advise on intra‑group arrangements, business transfers, corporate restructuring and cross‑border corporate matters.
• Contribute to legal team processes, knowledge sharing and junior colleague development.

Required profile

• Significant experience in commercial, corporate, regulatory and strategic legal matters, preferably within technology‑driven B2B and B2C environments.
• Proven ability to negotiate complex technology and SaaS agreements.
• Experience with corporate restructuring, intra‑group transactions and cross‑border legal issues.
• Strong stakeholder management skills and ability to work closely with senior business leaders.
