Legal Counsel & Company Secretary – Banking Sector

About the role

This senior position combines the responsibilities of a Company Secretary and General Counsel for a bank. Reporting directly to the Chair and Board Committees, the role provides independent legal and governance advice while preserving professional independence.

Key responsibilities

• Lead the Company Secretariat, ensuring high‑quality preparation of Board and Committee agendas, papers, minutes and statutory filings.
• Maintain statutory registers, corporate records and manage company filings in compliance with the Companies Act and internal governance policies.
• Coordinate regulatory governance matters, including Board appointments and conflicts‑of‑interest registers.
• Provide legal counsel to the Board, its Committees and the Executive Committee on banking regulation, financial services law and corporate governance.
• Review, negotiate and oversee commercial contracts, litigation, employment matters and data‑protection issues.
• Support regulatory investigations, enforcement actions and advise on risk mitigation.

Required profile

• Extensive experience as a senior legal adviser within the banking or financial services sector.
• Proven ability to deliver independent, objective advice to senior executives and Board members.
• Strong judgment, discretion and the capacity to influence senior stakeholders.
• Demonstrated track record of embedding robust governance practices into strategic decisions.
